Prepare a reviewed Rule 144(xi) procurement declaration with ownership/control details and the applicable registration position. This tool prepares a draft for review and signature; it does not issue government approval or verify the factual declarations.
Prepare your Beneficial ownership / Rule 144(xi) draft
Complete the fields, review the statement, then download PDF or editable Word. Entries stay in this tab; no account or upload is required.
This is a procurement eligibility draft, not a Companies Act BEN-1/BEN-2 filing or an eligibility determination. Review the current GeM format and full ownership/control/ToT chain before selecting the declaration route.
Review your unsigned draft
Check every statement against the official annexure, supporting evidence and signatory’s authority. Use the required letterhead and sign/stamp before submission.
Official reference checked#
The starting reference is the GeM VA/VAE docket, Annexure I; Annexure II for separate ownership-chain undertaking. It is a source format for the stated workflow, not a universal current annexure for every bid. The generator adapts the structure and keeps signatures blank. Use the exact buyer/assessment format if it is mandatory.
Assess the full ownership and control chain#
The official GeM docket separates Annexure I: Beneficial Ownership Declaration from Annexure II: Shareholding and Directors Undertaking. The latter has its own chain-disclosure, signature and supporting-document requirements. This generator does not replace that undertaking or determine your ultimate beneficial owners.
Review incorporation, parentage, indirect ownership, control rights, agency/reseller relationships, consortium participation and applicable specified transfer of technology. Select “registration not required” only after that assessment supports it. If registration is required, enter the competent authority, registration evidence and validity and attach the certificate. Never treat an application awaiting approval as a valid registration.
The official GeM registration guidance provides a separate beneficial-owner detail schedule. Current bid terms and assessment instructions govern the exact submission. This is not a Companies Act significant-beneficial-ownership filing (BEN-1/BEN-2), and the applicable tests must not be conflated.
Before signing and uploading#
- Confirm the correct legal entity, bid and recipient.
- Verify the factual statements and the signatory’s authority.
- Compare the draft with the prescribed annexure and complete any additional clauses or attachments.
- Apply the required letterhead, signature, seal and any notarisation or independent certification.
- Retain the approved version and supporting evidence with your bid records.
Privacy and downloads#
Entries remain in the current tab and are not uploaded or saved to browser storage. Reloading clears the form. The form and preview are masked for the site’s Clarity session recording. PDF, Word and print drafts are unsigned; editable Word files let you align wording with the exact annexure.
